Stockener Terms of Service

These Terms of Service ("Terms") govern your access to and use of Stockener, an inventory management platform for Amazon FBA sellers. Please read them carefully before using the Service.

1. Acceptance of Terms

By accessing or using Stockener (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. These Terms form a binding agreement between you and Stockener; if you do not agree, do not access or use the Service.

2. Eligibility and Business Use

The Service is intended for use by businesses and professional Amazon sellers. You must be at least 18 years old and have the legal authority to bind any organization on whose behalf you use the Service. Individuals or entities that cannot form legally binding contracts may not use the Service.

3. Account Registration and Security

To use certain features you must register for an account and provide current, complete, and accurate information. You are responsible for maintaining the accuracy of your account information and for all activity that occurs under your account.

You must protect your login credentials and use strong passwords and any available multi-factor authentication. Promptly notify us of any unauthorized access or suspected security breach. We are not liable for losses resulting from your failure to secure your account or credentials.

4. Connection to Amazon SP-API and Inventory Data

Stockener connects to your Amazon Seller account using Amazon's Selling Partner API (SP-API). We request only the API permissions necessary to read inventory, orders, listings, shipments, and related sales data required to provide the Service. We do not request permissions to take actions on your behalf that are not necessary for the Service unless you explicitly authorize those actions.

We store SP-API tokens and retrieved data securely and use them solely to provide, maintain, and improve the Service. You may revoke SP-API access through Amazon at any time; revocation may limit or disable Service functionality. You remain responsible for complying with Amazon's terms and any marketplace rules.

5. Service Features and Limitations

The Service provides tools to aggregate, visualize, and analyze inventory and sales data across supported marketplaces, including multi-marketplace views, grouping, reporting, replenishment recommendations, CSV export/import, and integrations such as Google Sheets. Features may be added, modified, or removed over time.

The Service is a decision-support system. Data may be delayed, incomplete, or subject to synchronization errors from third-party systems. You should not rely solely on Stockener for critical purchasing, pricing, or financial decisions; always apply business judgment and confirm critical data where necessary.

6. Sales Velocity, Forecasting, and Coverage Estimates

Forecasts, sales velocity, coverage estimates, and replenishment suggestions are model-based outputs derived from historical data and configurable settings. They are forward-looking estimates and not guarantees of future sales or inventory levels.

Factors such as seasonality, marketplace policy changes, promotions, competition, and external events can materially affect actual sales. We do not warrant that any forecast or recommendation will prevent stockouts, overstocks, or financial loss.

7. Acceptable Use

You must use the Service only in compliance with these Terms, applicable laws, and Amazon policies. Prohibited conduct includes: attempting to reverse engineer the Service, extracting data to build competing services, interfering with Service operations, uploading harmful content, or attempting unauthorized access. Violations may result in suspension or termination of your account.

8. Subscription, Fees, and Trials

Stockener is provided on a subscription basis. Plan features, fees, billing cycles, and trial offers are described at signup or in a separate order form. By subscribing you authorize recurring charges to your selected payment method until you cancel in accordance with these Terms.

All fees are exclusive of taxes, duties, and similar governmental assessments, which you are responsible for paying. Trial periods and promotional offers are subject to their specific terms and may be modified or discontinued. We may change subscription fees upon reasonable notice where required by law.

9. Data Privacy and Security

Our Privacy Policy explains how we collect, use, store, and share personal data. In summary: (a) Roles — where you supply or control Amazon seller and customer data, you are generally the data controller and Stockener acts as a data processor that processes data on your behalf to provide the Service; for data we collect to manage the commercial relationship (account contact and billing data), Stockener may act as controller. (b) Data types — we process contact and account information, Amazon inventory and order data, transaction metadata, usage and diagnostic logs, and payment/billing records. (c) Purposes & legal bases — processing is performed to fulfill the contract with you, for our legitimate interests (service operations, security, product improvement), and with consent where required (marketing). (d) Retention — we retain data only as necessary to provide the Service, meet legal obligations, or as otherwise disclosed in our Privacy Policy; retention periods vary by data category. (e) International transfers — data may be transferred to and processed in countries outside your residence; we rely on lawful transfer mechanisms such as standard contractual clauses or other applicable safeguards. (f) Security — we implement reasonable technical and organizational measures (for example, encryption in transit and at rest, access controls, and logging) to protect data but cannot guarantee absolute security. (g) Rights — where applicable, you may request access, correction, deletion, portability, restriction of processing, or object to processing; EU and California residents have rights under the GDPR and CCPA respectively. To exercise rights or request our Data Processing Agreement (DPA), contact us as provided below. We do not sell personal information as defined under the CCPA.

10. Third-Party Services and Integrations

The Service may integrate with third-party providers (Amazon SP-API, Google Sheets, hosting and storage providers, payment processors). Your use of those third parties is subject to their terms and privacy practices. We do not control third-party availability or policies and are not responsible for their acts or omissions.

11. Intellectual Property

All rights in the Service, software, user interface, text, graphics, and trademarks are owned by or licensed to Stockener. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes in accordance with these Terms. You retain ownership of the data you provide; by submitting data you grant Stockener a license to use that data to provide the Service.

12. Term, Suspension, and Termination

These Terms remain in effect while you have an active account or use the Service. You may cancel in accordance with the subscription terms; cancellations usually take effect at the end of the current billing period. Fees already paid are generally non-refundable, except as required by law or stated otherwise.

We may suspend or terminate your access immediately for conduct that violates these Terms, creates security or legal risk, or where required by law or marketplace policy. Upon termination we may delete, anonymize, or retain data as required by our retention policies and applicable law; certain provisions (liability limitations, indemnities, surviving clauses) will continue after termination.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STOCKENER OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO STOCKENER DURING THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED (100) US DOLLARS, TO THE EXTENT PERMITTED BY APPLICABLE LAW. SOME JURISDICTIONS MAY NOT ALLOW THESE LIMITATIONS.

15. Indemnification

You agree to indemnify, defend, and hold harmless Stockener and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your breach of these Terms, or your violation of third-party rights.

16. Changes to the Service and to These Terms

We may update the Service and these Terms to reflect changes in features, technologies, legal requirements, or business practices. When we make material changes to these Terms we will provide notice by updating the "Last updated" date and, when appropriate, by email or in-app notification. Continued use after changes constitutes acceptance.

17. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them will be governed by the laws of the jurisdiction in which Stockener is organized, without regard to conflicts of law principles. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction, except where mandatory law provides otherwise.

18. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force and effect. Our failure to enforce any right is not a waiver. You may not assign your rights or obligations without our prior written consent; we may assign in connection with a merger, acquisition, or sale of assets.
